Mergers below thresholds

The panel will address from various angles the topic of mergers below thresholds, which has been the subject of much debate throughout the EU over the last year. Among other, the speakers will discuss the EU Commission’s guidance on (and application so far of) the referral mechanism set out in Article 22 of the EU Merger Regulation, as well as the rules in place in several jurisdictions (both inside and outside the EU) that allow for the review of mergers below thresholds. Focus will also be on the introduction (most recently, i.e., August 2022) of the possibility for the Italian Competition Authority to request the notification of below-threshold mergers and substantially review these transactions, with a critical assessment of the new rules and possible enforcement perspectives.
